Please read these Terms in full. In particular, we draw your attention to:

— clauses 3 and 4 — the Content is general information only, is not professional advice, and may contain errors or be out of date; verify output before relying on it;

— clauses 8 to 10 — how orders, payment, delivery and returns work, and your Australian Consumer Law rights when a product is faulty;

1. About the Website

(a) Welcome to zippyreview.com (Website). The Website allows you to access and use ZippyReview, a review-collection platform that links physical review products to your business's review profiles and provides review-management tools (Service).

(b) The Website is operated by TOTALLISTER PTY LTD (ABN 95 155 821 944), trading as ZippyReview (we, us, our). Please read these terms and conditions (Terms) carefully. By accessing or using the Website or the Service, you agree to be bound by these Terms. If you do not agree, you must stop using the Website and the Service.

(c) We may update these Terms from time to time. If we make a material change we will publish a notice on the Website (and email registered users) at least 14 days before the change takes effect, and changes do not apply retrospectively. If you do not agree with an updated version of the Terms, you may stop using the Service and, if you have a paid subscription, cancel it without penalty before the change takes effect, in which case we will refund the unused portion of any period you have paid for in advance. Your continued use of the Service after a change takes effect constitutes acceptance of the updated Terms. We recommend you keep a copy of these Terms for your records.

2. About the Service

(a) ZippyReview provides physical review products (NFC-enabled review cards, stands and plaques) and connected software that helps businesses collect customer reviews and manage their review presence.

(b) The features of the Service may change over time. Where a feature of the Service is provided free of charge, we do not guarantee that it will always remain free or always remain available.

(c) The Service is intended for use by businesses and adults. You must be at least 18 years old to use the Service. The Service is not directed at children, and we do not knowingly collect personal information from children.

3. Information Only — No Professional Advice

(a) The Website and the Service provide analytics and statistics, local-search reports and heat-maps, AI-drafted review reply suggestions, articles and guides, and other content (Content) for general information purposes only.

(b) The Content is not, and must not be relied on as, professional advice of any kind, including legal, financial, accounting, taxation, marketing, search-engine-optimisation or other business advice. The Content does not take into account your objectives, circumstances or needs.

(c) Before acting or relying on any Content, you should make your own enquiries, independently verify the Content, and where appropriate obtain advice from a suitably qualified professional relevant to your circumstances.

(d) You are solely responsible for how you use the Content, including any decision to publish a reply to a review or to change your business practices based on it.

4. Accuracy and Currency of Information

(a) While we take reasonable care in preparing and operating the Service, we do not represent or warrant that the Content or any output of the Service is accurate, complete, reliable, current or error-free. Information and output may be out of date or contain errors.

(b) Content sourced from or describing third parties — including review platforms, search results, rankings and competitor information — can change at any time without our knowledge. Always confirm important information directly with the relevant platform or authoritative source before relying on it.

(c) You must independently review any output of the Service before using it for any purpose where an error could cause loss — including before publishing an AI-drafted review reply under your business's name.

(d) Nothing in this clause limits your rights under the Australian Consumer Law (see clause 16).

5. Acceptable Use

(a) The Website and the Service must only be used for lawful purposes. You must not use the Website or the Service:

(i) to engage in any act that disrupts the access, availability or security of the Service, including tampering with, reverse-engineering or hacking our systems; modifying, disabling or compromising the performance of the Service; overwhelming or attempting to overwhelm our infrastructure with an unreasonably large load; or probing, scanning or testing the vulnerability of our systems without our express written permission;

(ii) for any illegal purpose, or in violation of any applicable law, including data, privacy, spam and export control laws;

(iii) to submit or transmit content that is illegal, harmful, threatening, abusive, infringing or otherwise objectionable, or that contains viruses, malware or other malicious code;

(iv) to misrepresent or defraud anyone, including by phishing, spoofing, impersonation, or falsely implying sponsorship by or association with us or any third party;

(v) to mislead consumers about reviews — including by posting or procuring fake reviews, offering payment or other incentives in exchange for reviews, or selectively inviting only customers you expect to leave positive reviews; or

(vi) in an automated or bulk manner, including by scripts, bots or scraping, or to circumvent any rate, size or usage limit we apply (including by using multiple identities or accounts).

(b) We may apply and change rate and usage limits for the Service, and may suspend or deny access to the Service to any user who breaches this clause, acting reasonably.

(c) You can report suspected misuse of the Service to us at help@zippyreview.com.

6. Accounts

(a) Some features require an account. You must be at least 18 years old to create an account. You must provide accurate information when registering and keep your credentials secure. You are responsible for activity under your account.

(b) You may close your account at any time by contacting us at help@zippyreview.com.

7. Subscriptions, Payments and Refunds

(a) Paid plans, their features, prices and billing periods are described on the Website and in your account at the time of purchase. Prices are in the currency stated and include GST where applicable. Subscriptions are billed annually, with the price based on your plan and the number of business locations on your account.

(b) Free trial. New accounts may be offered a free trial of a paid plan (currently 60 days, offered once per account). We collect your payment method when the trial starts and clearly state when the trial ends. Your payment method is charged when the trial ends unless you cancel before then — we send you a reminder before the trial ends.

(c) Automatic renewal. Subscriptions renew automatically at the end of each billing period. We make that clear before you subscribe, and we send you a reminder before each renewal. You can turn off automatic renewal or cancel at any time, with effect from the end of the current billing period, using the subscription settings in your account or by contacting us. There is no cancellation fee.

(d) Plan changes. Upgrades take effect immediately, with the price difference prorated. Downgrades, and removing a location from your subscription, take effect at the end of the current billing period.

(e) If we increase the price of your subscription, we will give you reasonable advance notice and you may cancel without penalty before the increase takes effect.

(f) Refunds are provided in accordance with the Australian Consumer Law. Nothing in these Terms limits any refund or other remedy you are entitled to under the Australian Consumer Law (including for a major failure of the Service). We may also provide refunds at our discretion in other circumstances.

8. Products, Orders and Payment

(a) We sell NFC-enabled review cards, stands and plaques (Products) through the Website. Product descriptions and images are provided as a guide; minor variations — for example in colour reproduction between screens — may occur and do not affect your rights under the Australian Consumer Law.

(b) Product prices are shown in the currency you select and include GST where applicable. The total amount payable, including any delivery cost, is shown before you place your order. We do not apply a card payment surcharge.

(c) Your order is an offer to buy the Products in it. We accept your order when we confirm it. Acting reasonably, we may decline or cancel an order before dispatch — for example where a Product is unavailable, a pricing or description error has occurred, or we reasonably suspect fraud — in which case we will not charge you, and will release or refund any payment in full.

(d) When you are charged. When you place an order, we obtain an authorisation on your payment method for the total amount; the authorisation may appear as a pending transaction and reduce your available funds. Your payment method is charged when we dispatch your order. If your order is cancelled before dispatch, we release the authorisation or refund the payment in full — how long your bank takes to release an authorisation is set by your card issuer and is outside our control.

9. Delivery, Risk and Title

(a) We deliver Products within Australia using third-party carriers. Delivery costs, if any, are shown before you place your order.

(b) Dispatch and delivery timeframes shown on the Website are estimates only and are not guaranteed. We will dispatch your order promptly, and will let you know if dispatch is materially delayed.

(c) We are responsible for your order until it is delivered to you. If your order does not arrive within a reasonable time of the estimated window, or arrives damaged, contact us at help@zippyreview.com — we will investigate with the carrier and, where the order is lost or damaged in transit, send replacement Products or refund you in full. You do not need to pursue the carrier yourself, and nothing in this clause limits your rights under the Australian Consumer Law.

(d) You are responsible for giving us an accurate delivery address. Where you have expressly asked for your order to be left unattended at your address, delivery occurs — and risk passes — when the carrier leaves it there.

(e) Otherwise, risk in the Products passes to you on delivery to your nominated address. Title in the Products passes to you when we have received payment in full.

10. Returns, Refunds and Faulty Products

(a) Our Products come with guarantees that cannot be excluded under the Australian Consumer Law, including that they are of acceptable quality, fit for any purpose you told us about, and match their description.

(b) If a Product fails to meet a consumer guarantee and the failure is major, you may choose a refund or a replacement, and you may also be entitled to compensation for any other reasonably foreseeable loss or damage. If the failure is not major, we will repair or replace the Product, or refund you, within a reasonable time.

(c) To make a claim, contact us at help@zippyreview.com with your order details and, where practical, photos of the problem. Where a faulty Product needs to be returned, we cover the reasonable cost of returning it (for example with a prepaid label), and where you are entitled to a refund we also refund what you paid for the original delivery.

(d) 30-day change of mind. In addition to your rights under the Australian Consumer Law, we offer a voluntary 30-day money-back policy: contact us at help@zippyreview.com within 30 days of receiving your order, and return the Products in their original condition at your cost so that they reach us within 60 days of delivery. Once we receive them, we refund the product price to your original payment method. The original delivery cost is not refunded under this voluntary policy. None of these conditions apply to a claim under the Australian Consumer Law — where a Product is faulty, clauses (b) and (c) apply instead.

(e) Warranty against defects. We warrant the Products against defects in materials and workmanship (including the embedded NFC chip and printed QR code) for 12 months from delivery. To claim, contact us at help@zippyreview.com with your order details and photos of the defect; if we confirm the defect we will repair or replace the Product and bear the cost of doing so, including shipping. This warranty does not cover damage from misuse, accident, neglect, modification or normal wear. The warranty is given by TOTALLISTER PTY LTD of 225 Elizabeth Street, Melbourne VIC 3000, +61 421 191 045, help@zippyreview.com. This warranty is in addition to your rights under the Australian Consumer Law.

Our goods come with guarantees that cannot be excluded under the Australian Consumer Law. You are entitled to a replacement or refund for a major failure and compensation for any other reasonably foreseeable loss or damage. You are also entitled to have the goods repaired or replaced if the goods fail to be of acceptable quality and the failure does not amount to a major failure.

11. Product Activation and Ownership

(a) Products are linked to your ZippyReview account when activated, and remain associated with that account. The Service does not support transferring an activated Product to another account, and Products are not intended for resale.

(b) Products require a compatible smartphone (NFC or camera-based QR scanning) to be used by your customers. The Service directs customers to review platforms; it does not create reviews, and we make no representation about the number of reviews you will receive.

(c) You are responsible for the review-profile links you configure for your Products, and for ensuring you have the right to use them.

(d) Nothing in this clause limits your rights under the Australian Consumer Law.

12. Review Requests

(a) Paid plans may include a feature that sends review invitations by email or SMS to your customers, on your instruction. When you use this feature, the messages are sent on your behalf and identify your business.

(b) You warrant, for every recipient you submit, that: the recipient is a genuine, recent customer of your business; you hold the recipient's express consent, or consent that can reasonably be inferred from your existing customer relationship, to receive the message (Spam Act 2003 (Cth)); you keep records of that consent and can produce them on request; and the recipient's details were not purchased, harvested or obtained from a third-party list.

(c) Every review invitation includes a working unsubscribe mechanism. Once a recipient opts out, we will not send them further invitations on behalf of your business, and you must not resubmit their details.

(d) We may decline to send messages, or suspend your use of this feature, where we reasonably suspect the requirements of this clause are not met.

13. Intellectual Property

(a) The Website and the Service, including all text, graphics, logos, code, design elements and interactive features, are owned by or licensed to us and are protected by copyright and other intellectual property laws of Australia and international treaties. All trademarks, service marks and trade names used on the Website are owned by or licensed to us, except the third-party platform marks described in clause 15.

(b) We grant you a worldwide, non-exclusive, royalty-free, revocable licence to use the Website and the Service in accordance with these Terms, including caching and printing pages for your own personal or internal business use. All other rights are reserved.

(c) You retain all intellectual property rights in content you submit to the Service, including your business information and branding.

(d) If you send us feedback, suggestions or ideas about the Service, we may use them for any purpose, without restriction, payment or any obligation to you.

(e) We may derive de-identified, aggregated statistics from use of the Service. These statistics do not identify you or your customers; we own them and may use them, including to improve and promote the Service.

14. Privacy

Your personal information is handled in accordance with our Privacy Policy, available on the Website.

15. Third-Party Links, Platforms and Services

(a) The Website may contain links to, or information about, third-party websites, products and services. We do not own, operate, control or endorse those third parties, we are not a party to any dealing between you and them, and we are not responsible for their content, availability, pricing or conduct.

(b) ZippyReview is an independent product. We are not affiliated with, endorsed by or sponsored by Google, Meta (Facebook or Instagram), TripAdvisor or any other review platform. Their names and logos are trademarks of their respective owners and are used only to identify the platform a Product directs customers to.

(c) Review platforms set and change their own policies. You are responsible for complying with the policies of the platforms you collect reviews on, and we are not responsible for a platform's decision to remove reviews or restrict a profile.

16. Australian Consumer Law

(a) Our Service comes, and our Products come, with guarantees that cannot be excluded under the Australian Consumer Law.

(b) Nothing in these Terms excludes, restricts or modifies any guarantee, warranty, condition, right or remedy conferred by the Australian Consumer Law or any other applicable law that cannot lawfully be excluded, restricted or modified, or any liability under them. Everything else in these Terms — including clauses 17, 18 and 19 — applies subject to this clause.

(c) If you use the Service as a consumer from outside Australia, you may also have rights under mandatory consumer protection laws of your country of residence. Nothing in these Terms affects those rights.

17. General Disclaimer

Subject to clause 16, and to the maximum extent permitted by law:

(a) the Website and the Service are provided "as is" and "as available", and all terms, guarantees, warranties, representations and conditions not expressly stated in these Terms are excluded; and

(b) we make no warranty that the Service will be uninterrupted, secure, error-free or free of viruses, or that defects will be corrected.

18. Limitation of Liability

Subject to clause 16, and to the maximum extent permitted by law:

(a) neither party is liable to the other for any special, indirect or consequential loss or damage, loss of profit or opportunity, loss of data, or damage to goodwill arising out of or in connection with the Service or these Terms — except to the extent such loss or damage is reasonably foreseeable and results from our failure to meet an applicable consumer guarantee, or otherwise cannot lawfully be excluded;

(b) each party's liability for any loss is reduced to the extent that the loss was caused or contributed to by the other party, including by a failure to take reasonable steps to mitigate it;

(c) our total aggregate liability arising out of or in connection with the Service or these Terms, however arising (contract, tort including negligence, equity, statute or otherwise), is limited to the greater of (i) the amounts you paid us for the Service and any Products in the 12 months before the event giving rise to the liability, and (ii) AUD $100; and

(d) the exclusions and limitations in clauses 17 and 18 also apply for the benefit of our officers, employees, agents and contractors.

19. Indemnity

You indemnify us and our officers, employees, agents and contractors against loss, damage, liability, cost and expense (including reasonable legal costs) suffered or incurred by us to the extent caused by:

(a) content or customer details you submit to the Service in breach of these Terms or of a third party's rights — including review-request recipients submitted without the consent described in clause 12; or

(b) your breach of these Terms or your unlawful use of the Service,

except to the extent the loss was caused or contributed to by our breach of these Terms, our negligence or our unlawful act, in which case your liability under this clause is reduced proportionally.

20. Termination

(a) You may stop using the Service at any time and may close your account at any time.

(b) We may suspend or terminate your access to the Service:

(i) immediately, if you materially breach these Terms or use the Service unlawfully; or

(ii) otherwise, on reasonable notice to you — in which case, if you have a paid subscription, we will refund the unused portion of any period you have paid for in advance.

(c) Termination of access does not affect any order for Products that you have already placed and we have charged — we will fulfil the order or refund it in full.

(d) Termination does not affect rights accrued before termination, and clauses 3, 4, 9(e), 10, 11, 12, 13, 16 to 19, 21 and 22 survive termination.

21. Dispute Resolution

(a) If a dispute arises out of or in connection with these Terms, the parties must first attempt in good faith to resolve it by negotiation, by written notice to the other party.

(b) If the dispute is not resolved within 21 days, either party may refer it to mediation administered by the Resolution Institute (Australia) before commencing court proceedings, except where urgent interlocutory relief is sought.

(c) Nothing in this clause prevents you from making a complaint to a consumer protection regulator, applying to a small claims court or tribunal, or exercising rights under the Australian Consumer Law.

22. General

(a) Governing law and jurisdiction. These Terms are governed by the laws of Victoria, Australia. Each party submits to the non-exclusive jurisdiction of the courts of Victoria and courts competent to hear appeals from them.

(b) Events beyond our control. We are not liable for any delay or failure in performing our obligations under these Terms to the extent the delay or failure is caused by circumstances beyond our reasonable control.

(c) Severance. If any part of these Terms is void or unenforceable, it is severed and the rest of the Terms remain in force. Where a part is unenforceable only in a particular jurisdiction, it is read down or severed for that jurisdiction only.

(d) No waiver. A failure to enforce a provision of these Terms is not a waiver of it.

(e) Assignment. We may assign our rights under these Terms as part of a sale or restructure of our business; you may not assign yours without our consent (not to be unreasonably withheld).
